CS Test Series and Mentorship

The CS course is one of the most respected and comprehensive professional courses in India. What is a Company Secretary Course?

A CS is a three-year professional course that qualifies students for doing the company's legal and regulatory aspects, including tax file and record. CS Course Duration and Curriculum

The CS course is again a time-taking one, usually 3 to 5 years depending on the educational background of the student and his capability of clearing exams at the very first attempt. The course has three levels:

  • CSEET (Company Secretary Executive Entrance Test)
  • CS Executive
  • CS Professional

Apart from this, students have to undergo 21 months of articleship and mandatory training programs before getting certification.

Levels of the CS Course

The CS course comprises three primary levels that have been particularly designed to test and hone the students' knowledge and skills at different stages of their course. In the sections below, we will provide all the information about each level including the eligibility criteria, subjects taught, and career opportunities.

1. CSEET (Company Secretary Executive Entrance Test)

The CSEET is the entrance test in the pathway to becoming a Company Secretary. It tests the aptitude of the candidate's knowledge concerning business communication, legal reasoning, economic environment, and current affairs.

Eligibility Criteria
For 10+2 Students: Any student who passed Class 12 from any recognized board is eligible for sitting for the CSEET.
For Graduates: Graduates and postgraduates from all the streams are exempted from the CSEET and will directly get a chance for CS Executive.

Exam Pattern:
It is an online test. It is based on MCQs. The exam is of 2-hour duration, and there is a separate viva-voce for oral English.

CSEET Exam Pattern: Total Four subjects are present in this CSEET exam:

  • Business Communication: This course consists of basic communication skills followed in the corporate world. The contents covered are grammar, vocabulary, sentence building, and common mistakes of communications. Students need to learn concepts like how to write emails, letters, and professional communications followed commonly in corporate life.
    Example: A typical question would be asking a student to correct the mistakes in an email or make a formal letter even better.
  • Legal Aptitude and Logical Reasoning: his paper assesses a student's understanding of basic legal principles, logical reasoning, and the decision-making ability. Legal reasoning helps students understand the role of law in corporate affairs, while logical reasoning tests their ability to think analytically and solve problems.
    Example: A logical reasoning question might be asking the student to derive conclusions from given statements or premises.
  • Economic and Business Environment: This will be learned based on basic principles relating to the subject that forms concepts like supply and demand curve, market equilibrium curve and inflation curve and its basic monetary and fiscal policies involved in this topic related to the overall business environment wherein businesses take function.
  • Current Affairs and Quantitative Aptitude: This area of learning tests the students on general awareness of current events and quantitative problem-solving skills. It may include questions regarding the latest national and international business news, government policies, and important economic developments.
    Example: A question of quantitative aptitude might ask to solve word problems containing profit and loss, percentage, or simple algebra.

Once the student has cleared the CSEET, they can progress towards the CS Executive level.

2. CS Executive

They move to the level of CS Executive after passing CSEET. CS Executive is the advanced and professionalized level of the course for CS. Eligibility:
Applicants must have qualified for CSEET or must have a degree in law, management, or commerce to appear for the CS Executive exam.

CS Executive Exam Pattern:
The CS Executive exam has two groups:

Group 1:

  • Jurisprudence, Interpretation, and General Laws: It is related to the study of basics of law, legal structures, and the interpretation of statutes, which are involved in the study of the architecture of corporate governance and compliance..
  • Company Law and Practice: This would be a very important paper that would stress the Companies Act, 2013, laws on incorporation of companies, corporate structures and compliance requirements.
  • Formation of Business, Industrial and Labor Laws: This paper teaches laws in forming business setups, labor laws, industrial laws, and the regulatory framework by which companies have to govern and manage their workforce
  • Corporate Accounting and Financial Management: Emphasis is given to financial reporting, corporate accounting, balance sheet preparation, profit and loss statement, and essential principles of financial management.

Group 2:

  • Capital Market and Securities Laws: In this, the Indian securities market and all regulations in this particular field have been introduced to students which include SEBI Act and SEBI Regulations. Then comes the market participants, IPOs, and role of the Company Secretary in the capital markets.
  • Economic, Commercial, and Intellectual Property Laws: All economics-related laws, contracts, and IPR (patents, copyrights, trademarks, trade secrets) are covered.
  • Tax Laws and Practice: A very important paper, which covers principles of taxation, income tax, GST, customs duties, and corporate tax planning. A Company Secretary needs to know the tax regulations because such persons are generally entrusted with the task of ensuring that companies are complying with tax laws.

The student should have completed the CS Executive level of certification, which will be all set to take up critical roles in the corporate world and to progress further into the CS Professional level.

3. CS Professional

The CS Professional level is the final and most advanced level in the CS course. Equipped with skills and knowledge, the students are therefore able to perform high levels of functions in governance, legal compliance, strategic management, and corporate law. More often than not, students graduating at this level feature as the most important corporate board, legal department, or even the regulator.

Eligibility Criteria

Only candidates who have passed the level of CS Executive are eligible to sit in the exams of CS Professional.

CS Professional Exam Pattern

The CS Professional exam is divided into two groups. These groups comprise various papers. Students can select some optional papers of their choice as per the interest in a career. Below is the list of subjects at this level:

Group 1:

  • Environmental, Social, and Governance (ESG) – Principles & Practice: This paper focuses on sustainable business practices, CSR, governance principles, and the impact of businesses on the environment and society. ESG is of utmost importance in the context of modern corporate practices.
  • Drafting, Pleadings, and Appearances: This paper is a practical subject that trains students to draft legal documents, petitions, and prepare for appearances in regulatory authorities and courts.
  • Compliance Management, Audit & Due Diligence: The role of Company Secretary in meeting the compliance requirement in corporate structure and processes related to audit and due diligence.
  • Elective Paper 1: CSR & Social Governance, Forensic Audit, Intellectual Property Rights & other emerging fields like AI, Data Analytics & Cyber laws.

Group 2:

  • Strategic Management & Corporate Finance: This paper deals with high-level financial management topics on strategic decision-making, business valuation, corporate finance, mergers and acquisitions.
  • Corporate Restructuring, Valuation & Insolvency: This subject covers corporate restructuring methods, business valuation techniques, and insolvency laws, including the Insolvency and Bankruptcy Code, 2016.
  • Elective Paper 2: Some of the elective options are as follows - Arbitration & Mediation, GST & Corporate Tax Planning, Labour Laws, Banking & Insurance Laws, and Insolvency & Bankruptcy.

On clearing the CS Professional, a student is eligible to become an Associate Company Secretary and begin assuming responsible positions in most corporate, legal, or regulatory bodies.

Articleship and Training

Practical exposure is one of the core components of the CS course that provides future Company Secretaries with direct experience in corporate and regulatory fields. Articleship Requirements

The 21-month articleship forms an essential part of the CS course. Time:
